By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

• "Service" — the PureConsent consent management platform, including the dashboard, API, widget, and related infrastructure.
• "Customer" / "you" — the individual or entity that registers for and uses the Service.
• "End User" / "Visitor" — a person who visits a Customer's website where the Service is deployed.
• "Organization" — a workspace within the Service that groups domains, settings, and billing.
• "Widget" — the consent banner and preferences modal deployed on Customer websites.

2. Eligibility

You must be at least 16 years old and have the legal capacity to enter into a binding agreement. If you use the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at legal@pureconsent.com if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws.
• Attempt to circumvent, disable, or interfere with the Service's security features.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service to collect, store, or process personal data in violation of applicable data protection laws.
• Transmit malicious code, spam, or any content that could harm the Service or other users.
• Resell, sublicense, or redistribute the Service without our prior written consent.
• Exceed rate limits or abuse the API in a way that degrades performance for other users.

We may implement technical measures, including automated rate limiting, suspension, or blocking, to enforce these restrictions.

We reserve the right to suspend or terminate accounts that violate these terms.

5. The Service

PureConsent provides a consent management platform that enables Customers to:

• Deploy cookie consent banners on their websites.
• Collect and manage visitor consent preferences.
• Comply with privacy regulations (GDPR, ePrivacy, CCPA, and others).
• Track consent events for audit purposes.

We deliver the Widget via Cloudflare's edge network. The Service includes a dashboard for configuration, an API for programmatic access, and analytics for usage monitoring.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service is provided "as is" and "as available." We may perform maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to notify you in advance of planned downtime.

7. Intellectual Property

Our IP

The Service, including its code, design, documentation, trademarks, and underlying technology, is owned by the Company and protected by intellectual property laws. These Terms do not grant you any rights to our IP except the limited license to use the Service as described herein.

Your Content

You retain ownership of any content you provide through the Service (banner text, configuration, branding). By uploading content, you grant us a limited license to use it solely to provide the Service.

Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation to you.

8. Billing and Payments

Subscription Plans

The Service is offered under subscription plans as described on our website. Plans may include free tiers with usage limits and paid tiers with additional features.

Payment Processing

Payments are processed by Stripe, Inc. We do not store your full credit card numbers. By subscribing to a paid plan, you authorize us to charge your payment method through Stripe on a recurring basis in accordance with the selected subscription plan.

Billing Cycle

Paid subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. Your subscription renews automatically at the end of each billing cycle unless you cancel before the renewal date.

Price Changes

We may change subscription prices with at least 30 days' notice. Price changes take effect at the start of your next billing cycle after the notice period.

Taxes

All prices are exclusive of applicable taxes (VAT, IVA, etc.) unless explicitly stated. You are responsible for any taxes applicable to your purchase. We will charge applicable VAT/IVA as required by law.

Cancellation

You may cancel your subscription at any time through the dashboard. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

Refund Policy

We do not offer refunds for subscription fees already paid, except where required by applicable law. If you believe you have been charged in error, contact us at legal@pureconsent.com within 30 days.

Plan Limits and Overages

Each plan includes usage limits (sessions, domains). If you exceed your plan limits, we may restrict service functionality until you upgrade. We will notify you before restricting access.

We reserve the right to immediately suspend or limit access to the Service in cases of excessive usage that threatens system stability, security, or performance for other Customers.

9. Data Processing

When you use the Service, you act as a data controller and we act as a data processor with respect to your End Users' personal data. Our processing is governed by our Data Processing Agreement, which forms part of these Terms.

You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining any required consent from your End Users.

10. Termination

By You

You may terminate your account at any time by contacting us at legal@pureconsent.com or through the dashboard. Termination does not entitle you to a refund of prepaid fees.

By Us

We may suspend or terminate your account if you:

• Breach these Terms.
• Fail to pay applicable fees.
• Use the Service in a way that could harm us or other users.

We will provide reasonable notice before termination where practicable, except in cases of serious breach.

Effect of Termination

Upon termination, your access to the Service, including dashboards, APIs, and related functionality, will cease. We will delete or anonymize your data within thirty (30) days of termination, unless retention is required by applicable law or necessary for the establishment, exercise, or defense of legal claims. Further details are set out in our Privacy Policy and Data Processing Agreement.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will meet your specific requirements.
• The Service will be uninterrupted, timely, or error-free.
• The results obtained from the Service will be accurate or reliable.
• The Service is designed to assist with regulatory compliance, but it does not guarantee full legal compliance. You remain solely responsible for ensuring that your implementation and use of the Service comply with applicable laws.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total aggregate liability arising from or related to these Terms or the Service shall not exceed the amounts you paid us in the 12 months preceding the event giving rise to the claim.
• In the case of Customers using a free plan, our total aggregate liability shall not exceed one hundred euros (€100).
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill.

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise).

13. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of applicable laws or third-party rights.
• Content you provide through the Service.

This indemnification obligation does not apply to the extent a claim arises from our material breach of these Terms.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of Spain, without prejudice to any mandatory consumer protection rights that may apply under applicable law. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Spain.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes amicably through good-faith negotiation for a period of at least 30 days.

16. Miscellaneous

• Severability — If any provision is found unenforceable, the remaining provisions continue in full force.
• Entire Agreement — These Terms, together with our Privacy Policy, Cookie Policy, and DPA, constitute the entire agreement between you and the Company.
• Assignment — You may not assign these Terms without our consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
• Waiver — Failure to enforce any provision does not constitute a waiver.
• Force Majeure — We shall not be liable for failures or delays caused by circumstances beyond our reasonable control.
